Terms of Service (click to expand)

This web services agreement is intended as a legally binding agreement between Intek Multimedia Web Agency (Developer) and You (Client), collectively known as the “Parties”. Client agrees to allow Developer to run some web development services according to the Client’s scope of work. Developer is interested in undertaking such work; Client and Developer mutually desire to set and agree to the following terms and conditions as listed.

Client agrees to make a down-payment of 60% of the total amount (based on the package selected) before the work commences, then pays the remaining 40% after completion of the project. Client agrees that Developer can terminate this contract if Client refuses to pay the balance owed, and upon termination, Developer can destroy all the designs developed already. Client will still own the domain name and hosting server in the event of termination.

Developer agrees to offer additional website management services at the fees indicated under each plan, and Client agrees to pay the fee upfront (3 months ahead of time). These services include:

weekly backups,
daily malware scans,
email management,
Theme and Plugin Updates (as and when they are released),
Weekly Off-site Scheduled Backups on the entire website,
Brute Force Attack Protection,
Real Time Firewall,
Daily Malware Scanning,
Daily Uptime Monitoring,
Site Speed Optimization and
Website edits (as and when necessary).

Client agrees to let Developer create the website with WordPress CMS.

Developer will include a contact for on either website packages.

A Copyright link in this format, “powered by Intek Multimedia” will be displayed on the lower left corner of each page of your website to link visitors to Intek Multimedia Web Agency’s main website. This can be removed at a fee of GH¢3,500 (non-negotiable).

After the 1 year free domain and hosting plan, you'll pay for the domain name and hosting renewal fee (which will be mailed to you).

All materials to be supplied by Client must be provided with compatible file types and sizes. Until final approval, no portions of above site will be made available to end users without the correct password and username combination. Upon completion and approval of its final Web Site, or upon termination of this Agreement, whichever occurs earlier, the Developer shall deliver any and all materials developed in the course of its performance under this Agreement and any other items deemed necessary for the operation of the website. If this Agreement is terminated prematurely, Developer will destroy any and all copies, files, and documents related to this website development services agreement

During the course of this Agreement, it may be necessary for Client to share proprietary information, including trade secrets, industry knowledge, and other confidential information, to Developer in order for Developer to complete the Website in its final form. Developer will

not share any of this proprietary information at any time, even after the Agreement is fulfilled. Developer also will not use any of this proprietary information for his/her personal benefit at any time, even after the Agreement is fulfilled.

Client will own the masterpiece, also known as the website/blog/system, that Developer designs and any visuals that Developer provides with it. Client guarantees that they have the legal right to all elements of text, photographs, and anything else that Client provides to Developer and that Client or any other person or institution will not hold Developer responsible for any third-party claims.

Client continues to own any and all proprietary information it shares with Developer during the term of this Agreement for the purposes of the Project. Developer has no rights to this proprietary information and may not use it except to complete the Project. Upon completion of the Agreement, Client will own the final website design. While Developer will customize Client’s Website to Client’s specifications, Client recognizes that websites generally have a common structure and basis. Developer continues to own any and all template designs it may have created prior to this Agreement. Developer will further own any template designs it may create as a result of this Agreement.

Developer is concerned with protecting Client’s privacy and data, but we cannot ensure or warrant the security of any information you send over to Developer, or guarantee that Client’s information on Client’s website may not be accessed, disclosed, altered.

Client may terminate this website development services agreement at any time by providing written notice via email to the Developer. Developer may cancel this agreement in the same manner if necessary. In the event that this website development services agreement is cancelled by either party, the Developer shall issue a final invoice for any unbilled time or materials. The Client agrees to pay the final invoice according to the terms of this website development services agreement.

This website development services agreement shall be governed by the prevailing laws of Ghana. Should any conflicts arise related to this agreement, the Parties agree to seek a suitable resolution through a neutral arbitrator, whose ruling shall be considered final and binding on both parties.

Intek Multimedia Web Agency is the name behind most websites and web apps that are hosted on the internet today in Ghana and beyond.
